SoundOrbit Inc Terms/Conditions

This Term of Agreement sets forth the legally binding conditions for your use of the Services. By using the Services, you agree to be bound by this Agreement when registered with SoundOrbit Inc. You can only use the Services if you agree to its Terms and Conditions. Please read this Agreement carefully and save it. If you do not agree with it, you should leave the Website immediately. If you wish to become a Member, you must read this Agreement and indicate your acceptance at the end of this document before proceeding to the Registration process. This Agreement outlines the SoundOrbit Inc (further referred to as SoundOrbit.com) policy for acceptable use of the Services, your rights, obligations and restrictions regarding your use of SoundOrbit.com SoundOrbit.com may modify this Agreement from time to time. You agree to be bound to any changes to this Agreement when you use the Services. Please keep yourself updated regularly. SoundOrbit.com reserves the right to reject, refuse to upload or remove any information by you, or to restrict, suspend, or terminate your access to all or any part of the Services at any time, for any or no reason, with or without prior notice, and without liability if any of the terms are broken.

Use: By using the Service, you warrant that all registration information you submit is truthful and accurate; you are 18 years of age or older; and your use of the Services does not violate any applicable law. Your profile may be deleted and your Membership may be terminated without warning, if we believe that these terms have been abused.

Term. This Agreement shall remain in full force while you are a Member. You may terminate your Membership at any time, for any reason. SoundOrbit.com may terminate your Membership at any time, without warning. Password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party.

Fees. You acknowledge that SoundOrbit.com reserves the right to charge for the Services and to change its fees from time to time. If SoundOrbit.com terminates your Membership because you have breached the Agreement, you shall not be refunded any unused portion of subscription fees.

Copyrights

1. By publishing and uploading any Content, text, files, images, photos, video, sounds, profiles, works of authorship, or any other materials on and through the Services, you hereby grant to SoundOrbit.com, a non-exclusive, fully-paid and royalty-free, worldwide license to use such Content on and through the Services. This license will terminate at the time you remove such Content from the Services. You represent and warrant that: (a) you own the Content posted/uploaded by you or otherwise have the right to grant the license set forth in this section, and (b) the posting of your Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.
2. The Services and Content of SoundOrbit.com/SoundOrbit Inc. is protected by copyright, trademark, patent, trade secret and other laws, and SoundOrbit Inc owns and retains all rights. You may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through the Services w/o obtaining personal written permission from SoundOrbit Inc.

Selling Downloads. Please read these terms and conditions carefully before agreeing to sell any Downloads from our site. You should understand that by selling Downloads, you agree to be bound by these terms and conditions. Pricing. The price of any Downloads will be as quoted on our site. Our site may contain large number of downloads. In order to keep things simple, we will set each download at 1.00 Your Liability. You warrant that any Download added for purchase is of satisfactory quality. If it is not and a customer complains – you will be held liable for the refund amount.

Branding and Intellectual Property. The website displays or uses a range of intellectual property which belongs to the artist designated on the site and to SoundOrbit Inc. All rights in respect of these intellectual property rights are reserved. All music contained in the uploaded Downloads is copyrighted by you the artist, and is reproduced and licensed here in accordance with this agreement that states we can sell on your behalf.

Content/Activity Prohibited. We will not allow advertising of any outside association without our approval. Absolutely no offensive activity promoting racism, bigotry, hatred or physical harm of any kind will be tolerated or permitted while on SoundOrbit.com, including that which harasses or advocates harassment of another person; exploits people in a sexual or violent manner; contains nudity, violence, or offensive subject matter; interfering with, disrupting, or creating an undue burden on the Services or the networks or services connected to the Services.

Privacy. Use of the Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference.

Disclaimers. SoundOrbit.com is not responsible for inaccurate Content posted on the Website or in connection with the Services provided, whether caused by Users of the Services or by any of the equipment or programming associated with or utilized in the Services. Profiles created and posted by Members on SoundOrbit.com may contain links to other websites. SoundOrbit is not responsible for the Content, accuracy or opinions expressed on such website. Inclusion of any linked website does not imply approval or endorsement of the linked website by SoundOrbit.com. We will not be responsible for any loss or damage, including personal injury or death, resulting from use of the Services, or attendance at an event from any Content posted on or through the Services, or from the conduct of any Users of the Services, whether online or offline nor can we guarantee any specific results from use of the Services.

Limitation on Liability. WE SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT OR INCIDENTAL DAMAGES OR LOSSES OF ANYKIND INCLUDING MONETARY.

Disputes. If there is any dispute involving the Services, you agree that the dispute shall be governed by the laws of the Province of Ontario and you agree to personal jurisdiction by the province of Ontario and federal courts Canada. Dispute that may arise out of this Agreement can be settled by arbitration in accordance to the laws of Ontario.

Indemnity. You agree to indemnify and hold SoundOrbit.com, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above.

This Agreement is accepted upon your use of the Website or any of the Services and by you becoming a Member.
